1. Introduction:

Welcome to Study Counselors Pvt. Ltd., the operator of www.studycounselors.com. or www.studycounselors.com.np In these Terms and Conditions, "Study Counselors Pvt. Ltd.," "we," "our," or "us" refer to Study Counselors Pvt. Ltd. "Institutions" refer to universities, colleges, institutes, vocational institutes, and similar entities. "Consultants or service providers" refer to educational consultancies, recruitment partners, authorized representatives, sub-representatives, education portals, and other entities related to the study abroad journey.

We are committed to safeguarding the privacy and security of your personal information. These Terms and Conditions outline the rules and guidelines governing your use of our platform. They apply to all parties involved, including general visitors, students, educational consultancies, universities, colleges, and other service providers and users of the platform.

You, collectively referred to as "you" or "your," are expected to comply with these Terms and Conditions. By accessing or using the platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the platform.

2. About Us:

Welcome to StudyCounselors.com.np, the official platform of Study Counselors Pvt. Ltd., where we connect students with a myriad of service providers, including educational consultancies, tailored to their national and international educational journeys. Study Counselors Pvt. Ltd. is a leading platform designed to bridge the gap between students, parents, and educational institutions with certified service providers, especially educational consultancies and their counselors.

Our platform acts as a comprehensive hub where students can access detailed information about various educational institutions, their academic programs, authorized recruitment agents (educational consultancies) and their branches, as well as their certified counselors and corresponding programs. Educational consultancies play a pivotal role in the counseling process for students aspiring to study within the country or abroad. Institutions grant authorization to different educational consultancies to act as their representatives and recruit students globally. These consultancies will be listed on our website, showcasing their branches, the institutions they represent, academic programs, certified counselors, and the services they offer.

Through our platform, we aim to streamline the educational travel process by providing access to a diverse range of service providers. We act as a facilitator, ensuring students have seamless access to essential services through online connectivity.

2.1. How does our service work?

We make it easy for all users to compare different appointment bookings, enabling them to receive information from expert counselors representing various study abroad service providers, universities, colleges, and other relevant service providers throughout their study journey.

2.1.1 When users book an appointment to receive complete guidance on studying abroad through our platform, they are entering into a contract with the service provider.

2.1.2 The information provided on our platform is based on what the service providers share with us. While we strive to keep the information up to date, we cannot guarantee that everything on our platform is accurate. We make every effort to ensure the accuracy of the information, but we do not make any warranties or representations as to the completeness, reliability, or accuracy of the information provided.

2.1.3 All of you further agree and acknowledge that we solely serve as a facilitator and cannot be a party to providing counseling services to students or offering any other services. While we take reasonable care in providing our platform, we do not guarantee admission to any educational institution, provision of education loans, or other services related to your educational journey.

2.1.4 We are not a party to the terms between users and the service providers. The service provider is solely responsible for any of the counseling process for studying in national or international academic institutions such as colleges or universities.

2.1.5 To make a booking appointment, every user may need to create an account. It is important that all the information, including your address and contact details, provided in the account is accurate and up to date. You are solely responsible for all activities that occur under your account. Therefore, you should not share your account login details with anyone, and you must keep your username and password confidential.

2.1.6 Our Platform is not a recommendation or endorsement of any Service Provider or its products, services, facilities, accommodation etc.

2.1.7 We’re not a party to the terms between users (Students) and the Service Provider. The Service Provider is solely responsible for the services provided by them.

2.2. Who do we work with?

We display only those service providers that have a contractual relationship with us. These service providers may offer various programs related to studying abroad through our platform, including programs offered by different universities and colleges. Our platform shows you the number of available appointment slots worldwide and these appointments might be suitable for you based on the information provided by the service providers.

3. Accuracy of Information:

Study Counselors Pvt. Ltd. endeavors to provide accurate and up-to-date information updated by service providers through the Platform. However, the information provided through the Platform is subject to change and may not always be accurate or complete. Study Counselors Pvt. Ltd. does not guarantee the accuracy or completeness of any information provided through the Platform and assumes no responsibility for any errors or omissions. The Service Provider is solely responsible for the services they provide and the information they furnish.

4. Use of the Website:

4.1 You are responsible for maintaining the confidentiality of your account information, including your login credentials, and for any activity that occurs under your account.

4.2 You agree to use the Website only for lawful purposes and in accordance with this Agreement.

5. Content Submission, Sharing, Data Usage and Listing Policy

Recruitment agents and educational consultancies ("Service Providers") are solely responsible for ensuring that all content, including videos, images, logos, and other materials submitted to or listed on Study Counselors Pvt. Ltd. ("Platform"), complies with applicable copyright, intellectual property, and other relevant laws. This responsibility extends to content sourced from their own materials, educational institutions ("Institutions"), or third parties. Service Providers must obtain the necessary permissions from Institutions and related third parties for any content used on the Platform. They are fully accountable for all content posted, regardless of its origin. If a represented Institution files a complaint regarding such matters, the listed Institution will be disabled until written approval is received from the respective Institution. Under B2B (Business between Institutions' Representatives & Sub-Representatives), Sub-Representatives must  obtain full authorization to list or add institutions and input or edit data on behalf of the Institution's Representative.

5.1 Common Platform for Institutions and Programs:

You have to understand that all institutions and their programs listed on our platform are common. The same institution and its programs can be listed by multiple consultancies. For instance, if you are an authorized representative of a USA university, other consultancies may also be authorized representatives. Universities and colleges can appoint different authorized recruitment agents for various countries worldwide. Our platform is designed to showcase which consultancy is the authorized agent for which institution and country. Users can find and consult with the authorized representatives and their counselors for study abroad guidance.

5.2 Shared Information:

The information about institutions and their programs is shared and accessible by all authorized representatives. If any data is updated by one consultancy, this updated information can be used by other consultancies listing the same institution. Since institutions and their programs are common for all authorized representatives, any updates made to the data become accessible to all recruitment agents. By using our platform, you agree to this method of shared information usage.

5.3 Editing and Updating Data:

All authorized representatives from institutions can edit and update data as necessary. The information provided on the platform by consultancies is common and public. While the specific individuals who provide the institution's and their programs' data are not recorded, the last updater will be recorded in our database. The person who updates the information last will be responsible for the accuracy of the entire information provided for that particular institution or program. Therefore, please ensure that all information is correct before making edits. It is assumed that the last editor or updater is the primary or edited information provider for the institution or program. So, if you put and edit data with wrong information and if you remove any useful data about institutions and their program, or if you provide any illegal content or information, you may be disqualifying to list you in our platform and you may remove from our platform.

5.4. Listing Policy:                

The following Listing Policy outlines the terms and conditions for listing on the Platform’s Website:

5.4.1 The Service Providers must meet all eligibility requirements as set forth by the Platform, including but not limited to, registration, valid licensing and certifications etc.

5.4.2 Service providers must either be the main owners, authorized agents/representatives, sub-authorized agents/representatives and licensed recruitment agents from providers (such as universities and colleges) globally. They must hold explicit authorization to share and list the institution and their information on third-party platforms for the purpose of student recruitment and admission. Any unauthorized sharing or listing of institutional information is strictly prohibited.

5.4.3 Service providers on the Platform are responsible for uploading information and programs of their respective institutions. By uploading content, you accept full legal and moral responsibility for any and all claims made by third parties due to the publishing and use of this content. Study Counselors does not own or endorse uploaded content.

5.4.4 Service providers warrant that all content uploaded is truthful, valid, and has the right to be used. It should not contain viruses, Trojan horses, or infected files, and must comply with all applicable laws and regulations. Content must not be pornographic, illegal, obscene, insulting, objectionable, or infringe upon any third-party rights, including intellectual property rights, copyrights, or privacy rights.

5.4.5 Study Counselors disclaims all responsibility and liability for the content posted by service providers. Users of the Platform acknowledge that Study Counselors is not liable for any damages arising from the use or inability to use the content provided on the Platform.

5.4.6 Service providers retain all intellectual property rights to the content they upload on the Platform. By uploading content, service providers grant Study Counselors a non-exclusive, royalty-free, worldwide, perpetual authorization to use, display, and distribute the content for the purposes of operating and promoting the Platform.

5.4.7 The Service Providers shall maintain high standards of quality in its services and shall provide satisfactory services to the Platform’s users.

5.4.8 The Company reserves the right to remove or modify any listing and content that violates our policies at any time and without prior notice or that we deem to be inappropriate or inaccurate.

5.4.9 The Company is not responsible for any services offered by the listed service providers, and we do not endorse or guarantee any such services.

5.4.10 While listing, you must upload the institution's representation proof. However, if you choose not to submit a Representation Certificate from the institution, you may provide a Self-Declaration Letter stating that you are an authorized representative of the institution (university or college).

5.4.11 Under B2B (Business between Institutions' Representatives & Sub-Representatives), Representatives must grant authority to Sub-Representatives to list and manage institutions' data on their behalf. Sub-Representatives must submit an MOU signed with the Institution's Representative or a Self-Declaration Letter confirming their sub-representation status when registering a particular institution. They must obtain full authorization to list or add institutions and input or edit data on behalf of the Institution's Representative.

6. Listing Options and Payment Policy:

Service providers should carefully consider their business nature and objectives when selecting a listing plan. Service Providers have to choose the following plan according to your Business nature:

6.1 Subscription Plan:

6.1.1. Yearly Subscription Plan

Service providers have the option to choose the Yearly Subscription Plan, which requires payment of a yearly listing fee. This fee ensures that the business is featured on the Study Counselors' Platform and receives continuous visibility and promotion throughout the year. It is important to note that the Yearly Listing fee is non-refundable.

6.1.2  Commission Based Plan

Alternatively, service providers can select for the Commission Based Plan, which allows them to list their business with Commission Based options. Under this plan, service providers are obligated to pay a commission to Study Counselors for each referral generated through the platform's website. The commission rates will vary depending on the type of service offered, and the payment structure will be in accordance with Study Counselors' payment policy.

6.2. Payment Policy:

There are four plan of listing: Free, Basic, Premium, Ultra and Commission Based. With Commission Based plan, you can list your business for by paying less operation fee, but you will be required to pay a commission on the fees received by you from universities/colleges. The commission will be initially received by the consultancy (Service Providers) and then distributed to the Study Counselors. The commission rate will vary based on mutual understanding and will be determined at the time of signing the Memorandum of Understanding (MOU).

a. Service providers are required to pay the subscription fee directly into our company bank account through online channels, including but not limited to banking channels, payment gateways such as E-Sewa, FonePay, Bank Transfer and Paypal etc.

b. For Commission Based plan holders, the consultancy or recruitment agency agrees to pay Study Counselors the commission owed within 7 days of receipt of the commission from universities/colleges and service charge received from students. The consultancy must pay the platform the same percentage commission that they receive from universities/colleges when students pay their further semester's fees.

c. Study Counselors Pvt. Ltd. reserves the right to update this payment policy at any time.

6.2.1. Accepted Payment Methods:

a. "Account Payee Cheque" in favor of your company name.

b. Online transfer through banking channels in favor of your company name.

c. Payment through recognized payment gateways (E-Sewa, FonePay, PayPal). in favor of your company name.

d. Payment in foreign currency is also accepted through PayPal.

6.2.2. Unacceptable Payment Methods:

Hand cash and any personal Cheque in favor of personal name.

6.2.3. Responsibility for Transactions:

Study Counselors Pvt. Ltd. does not accept responsibility for transactions made using unacceptable payment methods. Service providers are advised to use only the accepted online payment methods mentioned above.

6.2.4. Refund Policy:

The subscription fee is non-refundable once the listing has been approved and published on our platform.

a. if we are unable to provide the service due to unacceptable online errors such as technical glitches, maintenance, or other reasons, we will make every effort to resolve it as soon as possible.

b. If service providers and their counselors engage in any illegal activity, misuse our platform, or violate the terms and conditions, they will be disconnected from our platform, and their subscription fee will not be refunded.

7. Bookings and Cancelation Policy:

7.1 Appointment Booking Process:

Service providers, such as study abroad service providers, banks, travel partners, etc., will list their services on the Study Counselors platform. Study Counselors Pvt. Ltd. will provide an appointment booking system for users to schedule appointments with service providers.

7.2 Booking Confirmation:

When a user schedules an appointment with a service provider through the platform, the service provider will receive a booking request.

7.3 Acceptance of Booking:

Service providers should promptly review booking requests and confirm or decline them within a reasonable time frame, typically within 24 hours.

7.4 Cancellation by Service Providers:

If a service provider needs to cancel a booked appointment, they must provide notice to the user through updating review. The cancellation should be made in a professional and respectful manner.

7.5 Rescheduling by Users:

If a service provider cancels an appointment, they should make efforts to reschedule the appointment with the user if possible.

7.6 No-Show Policy:

Service providers are expected to be punctual and prepared for scheduled appointments. In the event of a no-show by the service provider, they may be subject to penalties or consequences as determined by Service Providers.

7.7User Cancellation and rescheduling:

a. Users may also have the option to cancel or reschedule appointments. Users can give review after rescheduling or cancellation.

b. Study Counselors is not liable for any consequences, such as the cancellation of users booking or any fees the service provider may charge.

7.8 Amendment of Terms:

Study Counselors Pvt. Ltd. reserves the right to amend these booking and cancellation policies. Service providers will be notified of any changes to these terms and conditions.

7.9 Compliance:

Service providers agree to comply with the booking and cancellation policies set forth by Study Counselors Pvt. Ltd. upon listing their services on the platform. Failure to comply may result in consequences, including removal from the platform.

By booking an appointment with Study Counselors, you agree to the terms of our cancellation policy.

8. Confidentiality and Data Protection:

8.1 Both the Platform and Service Providers must ensure the confidentiality and protection of user data and personal information in accordance with applicable laws and regulations.

8.2 The Platform and Service Providers must obtain the necessary consent from users before collecting, using, or sharing their personal information.

8.3 The Platform and Service Providers must ensure that all data is collected and stored securely, and that appropriate measures are taken to prevent unauthorized access or disclosure.

9. Intellectual Property:

9.1 Service Providers (Agents) must not submit any content that infringes the intellectual property rights of any third party, including but not limited to Institutions. Agents warrant that they have obtained all necessary permissions, licenses, and rights to use the content they submit and that the use of such content on the Platform does not violate any third-party rights.

9.2 Study Counselors reserves the right to remove any content that infringes on third-party intellectual property rights or violates any applicable laws or regulations.

9.3 Service Providers must ensure that all content and materials used in their services do not infringe upon any intellectual property rights, including copyrights, trademarks, and patents.

9.4 The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by Nepalese and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.5 You may not reproduce, modify, create derivative works of, on our Website.

9.6 Your computer may temporarily store copies of such materials in Hard disk incidental to your accessing and viewing those materials.

9.7 You may store files that are automatically cached by your Web browser for display enhancement purposes.

9.8 You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

10. Disclaimer of Warranties:

The platform is provided "as is," and Study Counselors makes no warranties, whether expressed or implied, regarding the accuracy, reliability, or availability of the platform or its services. Your use of the platform is at your own risk.

11. Data and Analytics:

The Study Counselors platform may collect data and analytics related to the appointment booking system, such as the number of bookings and cancellations. The platform will not share these data to third party without your consent.

12. Technical Support:

The Study Counselors platform agrees to provide technical support to the Service Providers as needed, such as help with troubleshooting or resolving technical issues with the appointment booking system and web issue.

13. Liability and Disclaimers:

13.1 This platform and its affiliates will not be liable for any damages arising from the use of this platform or the services provided, including but not limited to errors or omissions in the information provided. We are not responsible for any actions or omissions of the consultancies or service providers. Any disputes or issues with the service providers should be resolved directly with the service providers. The platform will not be liable for any damages, losses, or expenses incurred by the student as a result of using the platform or engaging a consultant through the platform. We are not responsible for any financial transactions made between different users and the service providers.

13.2 Content submitted by Agents/Representatives may include information obtained from third-party sources, including Institution websites. Agents are responsible for ensuring that they have obtained the necessary permissions to use and share this content. Study Counselors (Pvt. Ltd.) is not responsible for verifying the legality of the content submitted by Agents but will take appropriate action if any content is found to violate our Terms and Conditions.

13.3 Study Counselors is not responsible for the actions, conduct, or quality of services provided by the Service Providers listed on the platform. Service Providers are independent entities, and any contractual arrangements or agreements are solely between users and Service Providers.

13.4 Neither party shall be held liable to the other party for any direct, indirect, incidental, special, or consequential damages, incidental, special, or consequential damages, including lost profits, arising from or related to this Memorandum of Understanding (MOU).

13.5 Study Counselors is not responsible for any financial transactions made between users and Service Providers. Each Service Providers shall be solely responsible for their own financial transactions with platform’s users, and the platform shall not be held liable for any such transactions.

13.6 If users are cheated by service providers and by their authorised counselors, the platform will not be responsible for such deception. Service providers must face legal responsibility for engaging in such fraudulent activities.

13.7 The activities carried out by the counselors of educational consultancies are the responsibility of the respective educational consultancy companies. If any fraudulent activity is committed by counselors or their staff, legal action will be taken, and the consultancy will be blocked. No refund will be made in such cases.

14. Governing Law and Dispute Resolution:

14.1 Service providers must be open to resolving disputes with clients in a fair and amicable manner.

14.2 The platform may provide dispute resolution mechanisms to facilitate fair resolutions.

These Terms are governed by Nepal’s governing law and jurisdiction. Any disputes or claims arising under these Terms will be resolved through Authorized body e.g., arbitration or mediation].

15. Client Reviews and Ratings:

15.1 The platform may allow clients to provide reviews and ratings for Institutions, Programs, service providers and their Counselors.

15.2 Service providers must not manipulate or solicit fraudulent reviews.

15.3 The platform reserves the right to moderate and remove reviews that violate its policies.

16. Copyright

16.1 Agents/Representatives or Sub-representatives are encouraged to use publicly available information such as basic facts (e.g., Institution name, location, contact details) but must obtain permission for detailed descriptions, promotional text, images, video and any other protected content from the respective Institutions. Recruitment agents/Educational Consultancies ("Agents") are solely responsible for ensuring that all content they submit or list to the [Study Counselors Pvt. Ltd.] ("Platform") complies with applicable laws, including intellectual property laws. Agents must ensure that they have obtained the necessary permissions from universities or colleges ("Institutions") to use and display any content related to such Institutions on the Platform. If you have not obtained permission, please contact the universities/colleges to request permission to use their detailed descriptions, images, and other protected content.

16.2 All services and company names and logos mentioned on our website are the trademarks, service marks, or trading names of their respective owners, including us.

16.3 You may download, scan and share the material from our website for the sole purpose of using it as an information resource for our Study journey related services. However, you may not modify, copy, reproduce, republish, upload, post, transmit, or distribute, by any means or in any manner, any material or information on or downloaded from our website, including but not limited to text, graphics, video, messages, code, and/or software without our prior written consent, except where expressly invited to do so, for example, to complete any test or questionnaire.

17. Code of Conduct:

Service providers must:

17.1 Treat all students with respect and professionalism.

17.2 Maintain a safe and discrimination-free environment.

17.3 Avoid activities harming the platform or its users.

17.4 Comply with applicable laws, including privacy and consumer protection.

17.5 Provide accurate and updated information.

17.6 Agree to platform terms and conditions.

17.7 Deliver high-quality, ethical services.

17.8 Maintain confidentiality and respect privacy.

17.9 Abide by local laws and avoid illegal activities.

17.10 Acknowledge the platform's right to remove listings.

17.11Respond to student inquiries promptly.

17.12 Accept possible changes to policies and terms.

17.13 The service providers agree to provide services to students in a professional and ethical manner, and to adhere to the terms and conditions of the platform.

17.14 The service providers shall Provide high-quality education consulting services to users seeking assistance through the Platform.

17.15 The service providers should regularly update the accurate current status of processing within the platform's software. Failure to do so may result in warnings from the platform, and continued neglect could lead to termination of subscription and agreement. Additionally, the service providers agree to furnish Study Counselors with precise and timely information concerning the services rendered to students, including progress reports, etc.30.5 The service providers agree to improve the quality and effectiveness of education consulting services offered through the Platform.

17.16 Service providers must offer accessible and responsive customer support to assist students and clients with inquiries, issues, and concerns.

18. Quality Assurance:

18.1 Service providers must commit to maintaining the highest standards of quality in delivering their services.

18.2 The platform may conduct periodic quality assessments and audits to ensure service provider compliance with quality standards.

18.3 Service providers must cooperate with quality assessment procedures and implement recommended improvements as needed.

19. Ethical Marketing and Advertising:

19.1 Service providers must engage in ethical marketing and advertising practices.

19.2 Misleading or deceptive marketing tactics are strictly prohibited.

20. Verification:

The platform may verify the information provided by Service Providers, including their qualifications and experience, through various means such as background checks, reference checks, and online research. Unverified information can be removed from platform without notice.

21. Modification of Policies and Terms:

The platform reserves the right to modify the listing policy, terms and conditions, and additional policies at any time. Our platform reserves the right to modify these terms and conditions at any time without prior notice. Your continued use of the platform following any changes to these terms and conditions will be deemed acceptance of those changes. We reserve the right to modify or terminate our platform at any time. You have to check our policy time by time.

22. Platform Access and Security:

22.1 The Study Counselors platform agrees to provide secure access to the appointment booking system and any related data or information and to take appropriate measures to protect the system from unauthorized access or data breaches.

22.2 Service providers are responsible for maintaining the security and confidentiality of their platform access credentials.

22.3 Unauthorized access or sharing of access credentials is strictly prohibited.

23. Communication:

23.1 The Platform may communicate with service providers and users (students) through email, calls, social media, platform notifications, or other means to facilitate updates regarding the study abroad journey. These communications are intended to gather feedback, assess student satisfaction with service providers, monitor student status related to their study abroad plans, and provide important updates, notifications, or announcements. The Platform is committed to ensuring that data and information are not misused and are used solely for the purposes outlined above.

23.2 Service providers are responsible for regularly checking their communication channels for platform-related messages.

23.3 By listing their services on the platform, service providers agree to comply with all policies and guidelines set forth by the platform.

24. Conflict Resolution and Mediation:

24.1 In the event of disputes between service providers and clients, both parties must first attempt to resolve the issue through open communication and mediation. Both party are responsible for each other regarding the services.

25. Reporting Misconduct:

25.1 Service providers are obligated to report any misconduct or unethical behavior by other service providers or users on the platform to Study Counselors Pvt. Ltd.

25.2 Reports of misconduct will be investigated, and appropriate action will be taken as necessary.

25.3 The platform values input from service providers and may consider suggested enhancements.

26. Compliance with Regulatory Changes:

26.1 Service providers must stay informed about changes in relevant laws and regulations related to their services and adapt their practices accordingly.

26.2 The platform may provide guidance on regulatory compliance.

27. Fraudulent or Unethical Practices:

Service Providers on the Study Counselors platform are strictly prohibited from engaging in any fraudulent or unethical practices. The following actions and behaviors are expressly prohibited:

27.1. Misrepresentation:

Service Providers must not provide false or misleading information about their services, qualifications, experience, or any other aspect that could mislead clients.

27.2. Fake Reviews and Ratings:

Service Providers must not create fake reviews or ratings for themselves or engage in any activity that manipulates or distorts the review and rating system on the platform.

27.3. Plagiarism:

Service Providers must not engage in plagiarism, including copying or using content, materials, or work that is not their own without appropriate attribution or authorization.

27.4. Deceptive Pricing:

Service Providers must not engage in deceptive or misleading pricing practices, such as hidden fees, bait-and-switch tactics, or false advertising.

27.5. Unauthorized Data Collection:

Service Providers must not collect, store, or use customer data without explicit consent and in violation of applicable data protection and privacy laws.

27.6. Illegal Activities:

Service Providers must not use the platform for any illegal activities or services that are in violation of local, state, or federal laws.

27.7. Harassment or Discrimination:

Service Providers must not engage in harassment, discrimination, or any form of abusive behavior towards clients, other Service Providers, or platform users.

27.8. Payment Fraud:

Service Providers must not engage in fraudulent financial activities, including unauthorized charges, credit card fraud, or any other deceptive financial practices.

27.9. Malicious Software and Hacking:

Service Providers must not engage in any form of cybercrime, including the distribution of malware, hacking attempts, or any activity that compromises the security of the platform or its users.

27.10 Violation of Copyright:

Service Providers must not infringe upon the intellectual property rights of others, including copyrights, trademarks, patents, or any other protected materials.

27.11. False Credentials:

Service Providers must not use false or misleading credentials, qualifications, or certifications to misrepresent their expertise in a specific field.

27.12. Reporting Violations:

Users of the platform, including clients and other Service Providers, are encouraged to report any suspected fraudulent or unethical practices by other Service Providers. Study Counselors will investigate such reports promptly.

27.13. Legal Consequences:

Service Providers engaged in fraudulent or unethical practices may be subject to legal action, fines, and other legal consequences. Study Counselors will cooperate with law enforcement agencies and regulatory bodies in such cases.

27.14. Prohibited Services:

The platform does not allow listing of services that are illegal, unethical, or harmful in any way. This includes services that promote discrimination, hate, or violence.

28. Suspension and Termination:

28.1 Study Counselors reserves the right to terminate the account and access of any Service Provider found to be in violation of these terms and conditions related to fraudulent or unethical practices.

28.2 Either party may terminate the MOU upon giving written notice to the other party. Upon termination, the Service Provider must immediately discontinue using the Platform's name, trademarks, and intellectual property.

28.3 This MOU may be terminated by either party with thirty (30) days' written notice to the other party. Additionally, the Platform reserves the right to terminate the Service Provider's listing on the Website without prior notice in the event of any breach of the Policy or MOU.

28.4 Upon termination, any outstanding commission and fee payments must be settled within 7 days from the termination date.

28.5 If service providers engage in any illegal activity, misuse our platform, or violate the terms and conditions, they will be disconnected from our platform, and their subscription fee will not be refunded.

28.6 Study Counselors Pvt. Ltd. reserves the right to change, modify, or discontinue any or all of the services provided through the Platform at any time without notice.

29. Acceptance of Terms

By listing your services on the Study Counselors Pvt. Ltd. platform, you acknowledge that you have read, understood, and agree to comply with all platform policies, including the Listing Policy, Terms and Conditions, and any additional applicable policies. Your continued use of the platform indicates your acceptance of these terms. If you do not agree with any part of these terms, you must cease using the platform and remove or request to remove your listings immediately.
